Terms of service

Last updated: 28 July 2026

These terms govern your use of the Prince & Counsel platform. By creating an account or using the service, you agree to them. Please read them alongside our privacy notice and cookies policy.

01About these terms

These terms form a binding agreement between you and Prince & Counsel Ltd, a company registered in England and Wales (company number 17357715). They apply to all users of the platform, whether law firms or providers.

02The service we provide

Prince & Counsel operates a marketplace that allows law firms to submit mandates and receive quotes from escrow and paying agent providers. We are an introduction and comparison platform only. We are not a party to any agreement between a law firm and a provider, and we do not provide escrow, paying agent, legal, or financial services ourselves.

03Eligibility and accounts

You must be a law firm, a provider, or an authorised representative of one, and you must register with accurate information. You are responsible for keeping your login credentials secure and for all activity under your account. We may suspend or close accounts that breach these terms.

04Mandates and quotes

When a law firm submits a mandate, it is shared with all active providers on the platform. Quotes provided by providers are indicative and subject to their own terms, due diligence, and onboarding. We do not guarantee the accuracy, completeness, or availability of any quote, and appointment of a provider is at the law firm's sole discretion.

05Relationship between users

Any engagement, contract, or transaction between a law firm and a provider is solely between those parties. We are not responsible for the performance, conduct, or solvency of any user, nor for the outcome of any transaction facilitated through the platform.

06Fees

Use of the platform is free for law firms. Providers pay fees as set out in their separate provider agreement, which may include subscription, success, and premium feature fees. We may change our fees on reasonable notice.

07Acceptable use

You agree not to misuse the platform, including by circumventing the mandate process, attempting to take introduced relationships off-platform in breach of provider terms, submitting false information, or interfering with the platform's operation or security.

08Intellectual property

All intellectual property in the platform, including its content, branding, and aggregated market data, belongs to Prince & Counsel Ltd or its licensors. You may not copy, reproduce, or exploit it without our permission. Content you upload remains yours, but you grant us a licence to use it to operate the service.

09Liability

To the fullest extent permitted by law, we are not liable for any loss arising from your use of the platform, from any quote, or from any dealing with another user. Nothing in these terms excludes liability that cannot lawfully be excluded. Our total liability to you is limited as set out in your provider agreement. Where you use the platform without a separate agreement with us, our total liability to you in any twelve month period is limited to £1,000.

We provide the platform on an "as available" basis and do not guarantee uninterrupted access. To the fullest extent permitted by law, we are not liable for any downtime, outage, delay, or technical issue, including where this results in a mandate, quote, or other communication not being sent, received, or actioned. You remain responsible for confirming that any time-critical mandate or quote has been received.

10Suspension and termination

You may close your account at any time. We may suspend or terminate access if you breach these terms or if we cease to operate the platform. Provisions that by their nature should survive termination will continue to apply.

11Changes to these terms

We may update these terms from time to time. We will notify you of material changes, and continued use of the platform after changes take effect constitutes acceptance.

12Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. For questions about these terms, contact legal@princeandcounsel.co.uk.
